RYU Apparel Announces $5 Million Private Placement
Vancouver, BC – November 20, 2017 – RYU Apparel Inc. (TSX VENTURE: RYU & Frankfurt Stock Exchange: RYA) (“RYU” or the “Company”), creator of urban athletic apparel, is pleased to announce it intends to undertake a non-brokered private placement financing (the “Financing”) of up to 55,555,556 units (the “Units”) at a price of $0.09 per Unit for gross proceeds of up to $5,000,000. Each Unit consists of one common share and one transferable common share purchase warrant (each, a “Warrant”). Each Warrant entitles the holder to purchase one additional common share at a price of $0.20 per common share for a period of five years from the closing of the Financing. The Company intends to close the Financing in tranches.
Completion of the Financing is subject to a number of conditions, including, without limitation, receipt of all regulatory approvals, including approval of the TSX Venture Exchange (the “Exchange”).
None of the securities issued in the Financing will be registered under the United States Securities Act of 1933, as amended (the “1933 Act”), and none of them may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the 1933 Act.
